Flowglad Inc. Terms of Service

If you signed a separate Cover Page to access the Product with the same account, and that agreement has not ended, the terms below do not apply to you. Instead, your separate Cover Page applies to your use of the Product.

This Agreement is between Flowglad Inc. and the company or person accessing or using the Product. This Agreement consists of: (1) the Order Form below and (2) the Framework Terms defined below.

If you are accessing or using the Product on behalf of your company, you represent that you are authorized to accept this Agreement on behalf of your company. By signing up, accessing, or using the Product, Customer indicates its acceptance of this Agreement and agrees to be bound by the terms and conditions of this Agreement.

Pre-Account and Evaluation Confidentiality

This section applies to any person or entity that, after receiving notice of these Terms, submits information to Flowglad, books or attends a meeting or demo with Flowglad, requests evaluation access, or otherwise exchanges non-public information with Flowglad in connection with the Flowglad Service, whether or not an Account is created. For purposes of this Section "Customer" includes that person or entity, and references to the "parties" mean Flowglad and that person or entity.

Non-public information exchanged by either party in connection with evaluating, discussing, providing, securing, supporting, or implementing the Flowglad Service will be treated as Confidential Information if it is marked confidential or reasonably understood to be confidential based on its nature or the circumstances of disclosure. This includes oral, visual, written, electronic, demo, screen-share, business, product, technical, financial, security, operational, customer, client, pricing, integration, software, prototype, and third-party information.

Each party may use the other party's Confidential Information only to evaluate, discuss, provide, secure, support, or implement the Flowglad Service, or as otherwise authorized in writing by the disclosing party.

Each party may disclose Confidential Information only to its employees, contractors, advisors, counsel, auditors, service providers, or representatives who need to know it for those permitted purposes and are bound by confidentiality obligations at least as protective as these Terms. Each party is responsible for its representatives' compliance with this Section.

The disclosing party is responsible for ensuring it has the right to share any Confidential Information it provides.

This Section does not authorize either party to share production data, full payment card numbers, bank credentials, tax returns, protected health information, government identification numbers, or other regulated or highly sensitive data unless Flowglad specifically requests it or the parties separately agree in writing.

Upon written request, each party will return or destroy the other party's Confidential Information, except for copies retained in ordinary-course backups, security logs, legal files, or archival systems, which will remain subject to these Terms.

The obligations in this Section survive expiration or termination of this Agreement and continue for as long as the information remains Confidential Information. Unauthorized use or disclosure of Confidential Information may cause irreparable harm, and the disclosing party may seek injunctive or equitable relief in addition to any other available remedies.

If the parties have entered into a separate written NDA, data processing agreement, services agreement, or other confidentiality agreement covering the same information, that signed agreement controls to the extent of any conflict.

Order Form

Framework Terms: This Order Form incorporates and is governed by the Framework Terms that are made up of the Key Terms below and the Cloud Service Agreement Standard Terms Version 2.1, which are incorporated by reference. Any modifications to the Standard Terms made in the Cover Page will control over conflicts with the Standard Terms. Capitalized words have the meanings given in the Cover Page or the Standard Terms.

Cloud Service: A cloud based collaboration platform that connects disparate systems in order to conduct cross-system automations, analysis, and querying.

Order Date: The Effective Date

Subscription Period: 1 month(s)

Certain parts of the Product have different pricing plans, which are available at Provider’s pricing page. Customer will pay Provider the applicable Fees based on the Product tier and Customer’s usage. Provider may update Product pricing by giving at least 30 days notice to Customer (including by email or notification within the Product), and the change will apply in the next Subscription Period.

Payment Process:
Automatic payment:

• Customer authorizes Provider to bill and charge Customer’s payment method on file Monthly for immediate payment or deduction without further approval.

Non-Renewal Notice Period: At least 30 days before the end of the current Subscription Period.

Key Terms

Customer: The company or person who accesses or uses the Product. If the person accepting this Agreement is doing so on behalf of a company, all use of the word “Customer” in the Agreement will mean that company.

Provider: Flowglad Inc.

Effective Date: The date Customer first accepts this Agreement.

Governing Law: The laws of the State of Delaware

Chosen Courts: The state or federal courts located in Delaware

Covered Claims:

Provider Covered Claims: Any action, proceeding, or claim that the Cloud Service, when used by Customer according to the terms of the Agreement, violates, misappropriates, or otherwise infringes upon anyone else’s intellectual property or other proprietary rights.

Customer Covered Claims: Any action, proceeding, or claim that (1) the Customer Content, when used according to the terms of the Agreement, violates, misappropriates, or otherwise infringes upon anyone else’s intellectual property or other proprietary rights; or (2) results from Customer’s breach or alleged breach of Section 2.1 (Restrictions on Customer).

General Cap Amount: The fees paid or payable by Customer to provider in the 12 month period immediately before the claim
